抄録

This article examines the worker(employee) cooperative laws in the United States, especially the Massachusetts Employee Cooperative Corporations Act and mirror acts. The Massachusetts Act is the first corporte governance act designed exclusively for worker cooperatives, and could be located as the model act. In order to make the features of the worker cooperative laws in the United States clearer, these laws are compared with the stock corporation laws, the various cooperative laws, and the Worker Cooperative Act(draft) in Japan.
