抄録

Recently in Japan, there has been a focus on the importance of improving corporate governance. Unfortunately, most of the measures for improvement emphasize only the structural aspects of the corporate governance. However improving corporate governance should also include functional aspects as well as structural aspects. The functional aspect is clearly represented in the“ discourse” by Habermas: each member presents an agenda free from preconceived notions resulting from status or title and individual agendas are open to criticism and modifications. The idea for group validation of a decision becomes key to the discourse. This method was recently applied as a case study for issues raised in“ S” company’s corporate governance. It revealed that a combination of both structural aspects of corporate governance such as introduction of external directors and committee as well as functional aspects of discussions are greatly needed for improving corporate governance.
