Abstract

The purpose of this paper is to consider a framework for analysis of endogenous institutional change and analyse a historical transformation of Keiretsu, which represents a transaction relationship in the manufacturing industry. There are two schools of new institutionalism: new institutional economics, which focuses on rationality, and new organizational institutionalism, which sheds light on legitimacy. However, the two theories are considered incompatible, which is caused, by neglecting the concept of efficiency. On the other hand, both theories share a common origin - the Carnegie school - and attempt to maintain a distance from complete rationality. Hence, this paper discusses efficiency in relation to rationality and legitimacy. Furthermore, we argue that the dynamism of institutional change in pursuit of efficiency is derived from conflict, which is rooted in the contradiction of diverse interests. According to this argument, we analyse the transformation of Keiretsu and the "NC network", which is a successful instance of electronic transaction relationship in Japan.
