Abstract

本稿では企業の法的形態,すなわち会社形態のあり方について,組織論の視点から検討する.従来,企業の法的形態については資金集中やガバナンスなどの面からの検討が主であり,事業を実際に行う組織との関係はあまり考えられてこなかった.しかし,近年の会社や法人の研究では,財・サービスを生み出す基盤としての組織に注目が集まっている.本稿では,組織と法人格との関係,及び出資者の役割の検討を通じて,組織の自律性を保護しつつ制禦するものとしての会社形態の機能を明らかにし,そこから法的制度である会社と経済活動である事業とを組織という媒介変数で結びつけることで,組織科学にとっても重要な研究分野が広がることを示す.

The purpose of this paper is to analyze legal forms of business from the perspective of organizational theory. Until recently, studies regarding business legal forms had focused on such topics as the concentration of capital or corporate governance, and had not considered the functions of organizations, in which the business is actually conducted. While several recent studies pay attention to organizations, their analyses in this regard are insufficient. This paper examines the relationship between organizations and corporate personality as well as the role of shareholders, and illustrates that the legal business forms are, on the one hand, to protect the autonomy of organizations and, on the other hand, to control it. This paper also demonstrates that we can expand our research field in the area of organizational science, by connecting the legal business forms as legal institutions and the business as an economic activity, using organizations as mediators.
