Description

This reference addresses the entire spectrum of issues confronting entrepreneurs and investors in the arena of venture finance. The author provides guidance on the entire process, beginning with the early stages of the financing process: formulating the business plan, selecting the form of organization, the incorporation process, and raising the initial capital. The book goes on to detail the drafting of the private placement memorandum and discusses the initial public offering. Areas given special consideration include stockholder agreements, employee agreements, licensing agreements, corporate and non-profit alliances, leveraged buyouts, and organizing the venture capital pool. Issues concerning the US 1986 Tax Reform Act are included in all tax discussions where relevant. The book also contains sample forms and documents and a bibliography providing a survey of the available literature on the subject.
