This book examines the various ways in which insider dealing is regulated in the UK. It provides an analysis of the Companies Securities (Insider Dealing) Act 1985 and prosecutions to date that have taken place under that legislation. It also looks at the impact the Financial Services Act 1986 has had on this area in terms of the additional investigation powers provided by it, the requirements of the SIB and SRO rulebooks and the sanctions provided for the breach of these requirements. In addition the book considers the provisions of the City Code on Takeovers and Mergers and the Stock Exchange Model Code of Conduct for Securities Transactions by Directors of Listed Companies.
