Neil Sinclair gives an account of the need for and the implications of the different types of warranties and indemnities in agreements for the purchase of a group of companies. The book is specifically designed to assist practitioners in drafting agreements relating to the sale and purchase of companies. View points of the vendor, warrantor and purchaser are explored and it suggests ways in which warranties and indemnities can be modified for their protection. Advice is also given on possible pitfalls. In particular there is coverage of taxation and property warranties. The text includes a clause-by-clause explanation of warranties and indemnities and precedent clauses reproduced in the appendices. There is also a separate index of statutory provisions concerning taxation warranties. Fully up-to-date it takes into account all the Finance Acts since 1984, including the IR concession of December 1988.
