Description
The international legal problems arising out of the activities of groups of companies are examined in this study, which explores group trading in the USA, state and corporate groups in the UK, group indebtedness, the fiduciary duties of dominant shareholders and legal issues pertaining to the management of groups of companies. A selection of related materials are reproduced in an extensive appendix, which includes extracts from the "Companies Act 1989", the "German Companies Act 1965", the text of the European Economic Interest Groupings Regulations and three sample Equalization Agreements.
