A reference tool for legal practitioners, enterpreneurs, investors, bankers and many others whose interest is to identify clearly and immediately the legal requirements for the correct formation and management of Italian companies (including commercial and industrial enterprise). Corresponding to the "Series on International Corporate Law", the authors have prepared a translation on the major sections of the Italian Civil Code. The book features introductory notes on Italian company law, a "side-by-side" translation of the Italian Civil Code, Book V (Arts. 2325-2548) and an index to these Articles. The introductory notes aid the foreign reader to understand the historical evolution and the economic background which has led to the present statutory discipline of Italian companies. The translation of articles of the Civil Code is limited to the most common corporate forms: the "Societa per azioni" (S.p.a.), the "Societa a responsabilita limitata" (S.r.l.), and the "Societa in accomandita per azioni" which are used as the framework for commercial and industrial enterprises.
Due to the significant importance of "cooperatives" in the contemporary Italian economy, a selection of relevant articles has also been included in this publication.
