Description
This text examines the warranties in cross-border acquisitions with reference to law in Argentina, Germany, Italy, South Africa, Spain, Sweden and the USA. The work addresses a wide range of matters regularly dealt with by lawyers: in the law of contract, in sales of goods, in negotiations, in promises to sell and in sale of shares and ongoing businesses. It also addresses the statutory warranties of clear title, absence of defects, merchandisable quality and proper functioning, as well as a range of procedural matters, remedies, defences and liabilities.
