内容説明

edited by Gerhard Wegen Partner, Gleiss Lutz Hootz Hirsch, Stuttgart, Germany; Vice-Chairman, Committee Q of IBA Capital Markets Forum Heinz-Dieter Assmann Professor, Commercial and Business Law, Tbingen University, Germany The intention of the EC Insider Trading Directive (89/592/EEC) was to ensure that member states made insider dealing illegal by adopting a common approach, to introduce minimum standards throughout the EC, and to facilitate cross-border policing and enforcement. As a result a number of states have enacted insider dealing legislation for the first time. This work presents the current status of insider dealing rules and practice in Germany, United Kingdom, France, Italy, Switzerland, the Netherlands, Denmark, Ireland, Luxembourg and Spain. It reports the state and practice and likely developments of the law in this area, avoiding too discursive an approach and offering a useful and practical book for lawyers and other professional advisers. The contributors are all experienced practitioners in this field and participated in the groundwork for the volume begun by the IBA's Committees on Banking, and Issues and Trading in Securities.
