Corporate governance is the system by which organizations are governed and controlled. This text disseminates, in an easily accessible format, the research findings of the ICAEW funded research programme into the aspects of governance highlighted by the Cadbury report. Given that corporate governance is one of the key issues of the 1990s, the aim of the text is to provide the most recent empirical evidence on key topics within corporate governance including: the voting behaviour of institutional investors; internal control and the management audit; the remuneration of the corporate board; board structures and qualifications in firms gaining quotation; audit committees; and the performance of firms in relation to institutional ownership.
