Designed to be used when drafting agreements for the purchase or sale of companies, this guide explains the necessity of each clause and its implications for both the buyer and the seller and suggests ways in which each clause might be modified for the protection of both sides. This edition has been revised to incorporate changes in law and practice and features extended coverage of warranties on sales of assets, including new precedents, and of environmental warranties, and updated coverage of accountancy standards and of the tax section, in order to incorporate the Value Added Tax Act 1994.
