Considers all major aspects of transactions involving the sale of businesses. It is organised around common clauses in the standard business agree-ments commonly used in Australia. These are set out in the appendix and referenced to the text. Apart from dealing with such contractual issues, the book considers in detail the nature of what is being sold including leases, intellectual property, plant equipment and goodwill. It has chapters on income tax, employment considerations and restraints of trade, and on special conditions, such as subject to finance clauses. The book takes the transaction from negotiation to completion and gives detailed treatment to pre-contractual disclosure, investigation of title of assets, completion and remedies upon default in a heavily referenced and discursive manner.
