Written and compiled by the founding partner of a leading Tokyo law firm and four American scholars of Asian law, this casebook focuses on the important field of Japanese business law. Introductory chapters explore Japan's legal and business environment; subsequent chapters examine such topics as administrative guidance, choice of investment firm, foreign investment regulation, negotiating and drafting, corporate law, tax, intellectual property, antitrust, dispute resolution, and mergers and acquisitions. To focus discussion and place the materials in a true business context, sections in each chapter trace a hypothetical US-Japan joint venture (derived from actual cases) from initial contacts through formation, dispute and renegotiation, and dissolution.
